                   Announcement on Voting Rights and Capital                   

In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

Zhejiang Expressway Co., Ltd. (the "Company")'s issued share capital consists
of 4,343,114,500 shares. The Company does not hold any shares in Treasury.
Therefore, the total number of voting rights in the Company is 4,343,114,500.

The above figure (4,343,114,500) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, the Company under
the Financial Services Authority's Disclosure and Transparency Rules.
