3i Group plc Announcement

Application is being made to the UK Listing Authority and The London Stock
Exchange for the listing and admission to trading of 63,913 new shares of 50p
each in the capital of 3i Group plc. The allotment of the shares (at a price of
£12.10 per share) is conditional only upon their admission to the Official List
and trading on The London Stock Exchange becoming effective.

The allotment is in connection with the acquisition of SFK Finance Oy and was
referred to in an announcement made on 16 May 2000.
