In accordance with Listing Rule 9.6.1 R, the Company has submitted two copies of the following documents, in respect of itself, to the UK Listing Authority which will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at Financial Services Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS (telephone number: [phone]):

(a)        Report and accounts for the year to 31 March 2010;

(b)        Shareholder booklet containing Notice of AGM;

(c)        Proxy Form;

(d)        Letter for shareholders who have not expressed a preference for either hard copy or electronic shareholder communications;

(e)        Form for shareholders to elect to continue to receive hard copy shareholder communications; and

(f)         Dividend payment request form.

Copies of the Report and accounts for the year to 31 March 2010 and Notice of AGM are also available via the 3i Investor relations website at www.3igroup.com.

The purpose of the remainder of this announcement is to release certain regulated information in unedited full text to meet the requirements of Disclosure and Transparency Rule 6.3.5. The information below is an extract from the 3i Group plc Annual report 2010:

"In accordance with the FSA's Disclosure and Transparency Rules, the Directors confirm to the best of their knowledge that: 

(a)        the financial statements, prepared in accordance with applicable accounting standards, give a true and fair view of the assets, liabilities, financial position and profit or loss of the Company and the undertakings included in the consolidation taken as a whole; and

(b)        the Directors' report includes a fair review of the development and performance of the business and the position of the Company and the undertakings included in the consolidation taken as a whole together with a description of the principal risks and uncertainties that they face. 

The Directors of the Company and their functions are listed on pages 64 and 65."
