On 22 August 2005 the Directors and persons discharging management
responsibility ('PDMR') in respect of 3i Group plc listed below acquired the
number of Ordinary Shares of 53 1/8 p ('Shares') of 3i Group plc detailed
below at a price of £7.03 per share. These Shares were acquired in accordance
with The 3i Group Performance Share Plan on the reinvestment of 3i Group plc's
special dividend which was paid on 22 July 2005 on all Shares including those
comprised in awards held under The 3i Group Performance Share Plan.
