As potential beneficiaries of The 3i Group Employee Trust (the 'Trust') all
employees of 3i Group plc (the 'Company') and its subsidiaries have an interest
in all the ordinary shares of 62 69/88p each in the Company ('Shares') held by
the Trust. These employees include P E Yea, S P Ball and M J Queen, who are
Directors of the Company.

On 5 September 2006, the Company was notified that on 4 September 2006
participants exercised options under The 3i Group Discretionary Share Plan to
acquire from the Trust 132,690 Shares at £5.68 per Share.  The place of this
transaction was the London Stock Exchange.
