In accordance with the 3i Group plc (the 'Company') circular to shareholders
dated 14 June 2007 (the 'Circular'), on 23 July 2007 the Brokers' Offer was
completed and those shareholders who had validly elected, either by Form of
Election or by default, to participate in the Brokers' Offer had their relevant
B Shares purchased from them at a price of 127p per share.  As a result, on 23
July 2007 Mme C J M Morin-Postel, a Director and Person Discharging Managerial
Responsibilities ('PDMR') of the Company, sold 6,322 B Shares in the Brokers'
Offer.



The above transaction took place on the London Stock Exchange and was notified
to the Company on 30 July 2007.



Defined terms used in this announcement shall bear the meanings given in Part 10
(Definitions) of the Circular.
