1. On 18 May 2006, 3i Group plc (the 'Company') was notified that on 18 May 2006
Baroness Hogg, a Director and person discharging managerial responsibility ('
PDMR'), acquired 1,000 Ordinary Shares of 53 1/8p each ('Shares') in the
Company at 830.45p per share.



2. Pursuant to the rules of The 3i Group 1994 Executive Share Option Plan, on 17
May 2006 the Company was notified that on 17 May 2006 Paul Waller and Jo Taylor,
both PDMRs of the Company: (i) exercised options to acquire the number of Shares
in the Company detailed below at the price per Share detailed below and (ii)
sold the number of Shares detailed below at the price per Share detailed below:
