Director/PDMR Shareholding

The following replaces the Director/PDMR shareholding announcement released at
15.28 on 15 November 2007 under RNS number 8334H. A correction has been made to
the number of shares and purchase price referred to in that announcement. The
number of shares purchased was 1031 and not 1041 as previously stated. The
purchase price of the shares was 1039.75p per share and not 1049.75p as
previously stated.



All other details of the transaction remain unchanged, and the amended full-text
version appears below.

On 19 November 2007, 3i Group plc (the 'Company') was notified that on 15
November 2007 A W W Brierley, a person discharging managerial responsibilities
('PDMR'), acquired 1031 ordinary shares of 73 19/22p each in the Company at
1039.75p per share.  The transaction took place on the London Stock Exchange.
