Pursuant to the rules of The 3i Group Discretionary Share Plan, on 1 June 2009 each of the Directors/persons discharging managerial responsibilities ('PDMRs') of 3i Group plc (the 'Company') listed below: 

(a)	became beneficially interested in the number of ordinary shares of 73 19/22p each in the Company ('Shares') shown against their name under the heading 'Investment Shares' below, which they subscribed for at a price of 252p per Share; and
(b)	were awarded Matching Share awards, for nil consideration, over the number of Shares shown against their name under the heading 'Matching Shares' below. The Matching Share Awards are subject to a performance target.
