On 10 June 2015, 3i Group plc (the "Company") was notified that on 9 June 2015 Kevin Dunn, a person discharging managerial responsibilities, transferred to his wife, Donna Stringer, (being a connected person in relation to Mr Dunn) 255,183 ordinary shares of 73 19/22p each in the Company ("Shares") for nil consideration.

The place of this transaction was the London Stock Exchange.
