In accordance with Disclosure Rule DR 3.1.2R, on 23 February 2006 Paul Waller, a
person discharging management responsibility  ('PDMR') in respect of 3i Group
plc (the 'Company') notified the Company that on 23 February 2006 he
transferred, for nil consideration 952 Ordinary Shares of 53 1/8p in the
Company to his daughter, Emily Waller.  This was an off market transaction.

In accordance with Disclosure Rule DR 3.1.2R, on 23 February 2006, Emily Waller,
as a connected person to Paul Waller, notified the Company of the above
transaction details.
