Pursuant to the 3i Group plc (the 'Company') circular to shareholders dated 14
June 2007 (the 'Circular'), on 23 July 2007 Mr S P Ball, a Director and Person
Discharging Managerial Responsibilities ('PDMR') of the Company, sold 5,473 B
Shares in the Brokers' Offer (as defined in the Circular) at a price of 127p per
B Share.



The above transaction took place on the London Stock Exchange and was notified
to the Company on 5 September 2007.



Defined terms used in this announcement shall bear the meanings given in Part 10
(Definitions) of the Circular.
