On 14 July 2005, persons discharging management responsibility ('PDMR') in
respect of 3i Group plc, were granted by the Trustee of the 3i Group Employee
Trust, awards of Ordinary Shares of 53-1/8p ('Shares') each of the Company,
as detailed below:

Performance Share Awards are subject to forfeiture in accordance with a
performance condition.

The consideration for all of the awards detailed above was £nil.  The place of
the transactions detailed above was Jersey.

Each of the PDMR's notified the Company of the change in their interest in the
Shares on 14 July 2005.
