As a consequence of the consolidation of every 17 Ordinary Shares of 50p each in
the Company into 16 Ordinary Shares of 53 1/8p each in the Company which took
effect on 11 July 2005 the interests of its Directors in the Company's shares
changed. As of 16 August 2005 the interests of the Directors in the Ordinary
Shares of 53 1/8p ('Shares') each in the Company were as follows:
