On 2 March 2004, Mr R W Perry, a Director of 3i Group plc, exercised options
under The 3i Executive Share Option Plan to subscribe for 14,000 shares 
('Shares') of 50p each in 3i Group plc at an exercise price of £2.72 per Share.


Mr R W Perry notified 3i Group plc of the changes in his interest in these
Shares on 3 March 2004.
