On 16 July 2004 Mr Oliver Henry James Stocken, a director of 3i Group plc,
became beneficially interested in 95 Shares of 50p each in 3i Group plc. The
shares were purchased on 16 July 2004 through the 3i Dividend Re-Investment Plan
administered by Lloyds TSB Registrars at a price of £5.75 per share. The Company
was notified of Mr Oliver Henry James Stocken's interest in these shares on 1
September 2004.
Note: the above announcement is in addition to, and separate from, a similar
announcement made on 21 July 2004 relating to Mr Stocken. By way of
explanation: Mr Stocken is interested in two separate holdings of shares, each
of which participates in the 3i Dividend Re-Investment Plan.
