The Listing Rules - Chapter 16. Paragraph 16.13 - CORRECTION

As potential beneficiaries of The 3i Group Employee Trust (the 'Trust') all 
employees of 3i Group plc and its subsidiaries have an interest in all the 
shares ('Shares') of 50p each in the Company held by the Trust for the purposes 
of section 324 Companies Act 1985. These employees include the executive 
directors of 3i Group plc: Brian Larcombe, Richard Summers, Martin Gagen, Peter 
Williams, Michael Queen and Rod Perry (the 'Directors').

It has come to the attention of the Company that, due to clerical error, 
announcements made to the Stock Exchange on 30 June 2000 and 31 July 2000 
referred to incorrect numbers of Shares disposed of by the Trust.

In the announcement dated 30 June 2000 the reference to a disposal by the Trust 
of 231,877 Shares should have read 231,907 Shares.

In the announcement dated 31 July 2000 the references to disposals by the Trust 
of 50,341 and 21,130 Shares should have read 26,184 Shares and 46,462 Shares 
respectively.
