1   On 12 May 2005 Baroness Hogg, a Director of 3i Group plc, became beneficially interested in 2,500
    Ordinary Shares of 50p each in the Company. The shares were purchased on 12 May 2005 at a price of
    655.294p each and were registered in the name of Hoares Bank Nominees Limited.  The Company was notified
    of Baroness Hogg's interest in these shares on 13 May 2005.


2   On 13 May 2005 , Mr Oliver Henry James Stocken, a Director of 3i Group plc, became beneficially
    interested in 5,000 Ordinary Shares of 50p each in the Company. The shares were purchased on 13 May 2005
    at a price of 652p each and were registered in the name of Greenwood Nominees Limited.  The Company was
    notified of Mr Oliver Henry James Stocken's interest in these shares on 13 May 2005.
