Pursuant to the Rules of The 3i Group Management Equity Investment Plan, on 23
July 1999, each of Brian Larcombe, Richard Summers, Martin Gagen, Peter Williams
and Michael Queen (the 'Directors') were granted the conditional right to
acquire the number of ordinary shares of 50p each in 3i Group plc ('Shares')
detailed against their name below at nil cost per Share.  The consideration for
each of the grants was nil.
