Directors' Notification of Dealing in Shares

On 7 June 2000 Brian Larcombe, a Director of 3i Group plc (the 'Company'),
exercised rights to acquire 59,247 shares ('Shares') of 50p each in the Company
under The 3i Executive Share Option Plan at an exercise price of £1.675719 per
Share.  Brian Larcombe notified the Company of the change in his Share interests
on 8 June 2000.
