Listing Rule 9.6.3 R


Pursuant to the 3i Group plc ('the Company') circular issued to shareholders
dated 14 June 2007 ('the Circular'), the Company has posted Forms of Election
relating to the Company Offer to Certificated Shareholders who retained B Shares
after the Brokers' Offer.

Copies of the Company Offer Form of Election have been submitted to the UK
Listing Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility, which is situated at:
