Total voting rights
Following allotments of shares under The 3i Group Share Incentive Plan on 30
April 2007, 3i Group plc (the 'Company') had 461,117,062 issued ordinary shares
of 62 69/88p each admitted to trading on a regulated or prescribed market. Each
ordinary share carries the right to one vote in relation to all circumstances at
general meetings of the Company. The Company does not hold any ordinary shares
in treasury.
The total voting rights figure may be used by shareholders (and others with
notification obligations) as the denominator for the calculations by which they
will determine whether they are required to notify their interest in, or a
change to their interest in, the Company under the FSA's Disclosure Rules and
Transparency Rules.
