Transaction in Own Shares

3i Group plc

On 16 August 2005, 17 August 2005 and 18 August 2005 it was announced that 3i
Group plc had respectively purchased 300,000, 2,100,000 and 500,000 of its own
ordinary shares of 53 1/8p each ('Shares'), for cancellation.  The Company
now confirms that these Shares were cancelled as follows:

                      500,000                       23 August 2005


The Company's issued share capital as at 23 August 2005, following the
cancellations of the above Shares, was 562,353,197 Shares.
