On 21 December 2005 it was announced that 3i Group plc had purchased 325,000 of
its own ordinary shares of 53 1/8p each ('Shares'), for cancellation.  The
Company now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 28 December 2005, following the
