On 16 January 2007 it was announced that 3i Group plc (the 'Company') had
purchased 240,000 of its own ordinary shares of 62 69/88p each ('Shares'), for
cancellation. The Company now confirms that these Shares were cancelled as
follows:

The Company's issued share capital as at 18 January 2007, following the
cancellation of the above Shares, was 461,328,861 Shares.
