Transaction in Own Shares

On 16 September 2005 and 21 September 2005 it was announced that 3i Group plc
had respectively purchased 500,000 and 250,000 of its own ordinary shares of 
53-1/8p each ('Shares'), for cancellation.  The Company now confirms that
these Shares were cancelled as follows:

                      250,000                            26 September 2005


The Company's issued share capital as at 26 September 2005, following the
cancellation of the above Shares, was 559,246,751 Shares.
