Transaction in Own Shares

On the dates listed below it was announced that 3i Group plc (the 'Company') had
purchased: 1,100,000; 1,200,000; 100,000; and 1,250,000 respectively of its own
ordinary shares of 73 19/22p each ('Shares'), for cancellation. The Company now
confirms that these Shares were cancelled as follows:
