On 28 November 2006 it was announced that 3i Group plc (the 'Company') had
purchased 400,000 of its own ordinary shares of 62 69/88p each  ('Shares'), for
cancellation. The Company now confirms that these Shares were cancelled as
follows:

The Company's issued share capital as at 30 November 2006, following the
cancellation of the above Shares, was 466,828,703 Shares.
