Transaction in Own Shares

3i Group plc

On 14 July 2005, 19 July 2005 and 20 July 2005, it was announced that 3i Group
plc had respectively purchased 625,000; 300,000 and 1,000,000 of its own
ordinary shares of 53 1/8p each, for cancellation.  The Company now
confirms that these shares were cancelled as follows:

                      300,000                         21 July 2005
                     1,000,000                        25 July 2005

The Company's issued share capital as at 25 July 2005, following the
cancellations of the above shares, was 576,222,296 ordinary shares of 53 1/8p
each.
