On 4 December 2006 it was announced that 3i Group plc (the 'Company') had
purchased 700,000 of its own ordinary shares of 62 69/88p each ('Shares'), for
cancellation. The Company now confirms that these Shares were cancelled as
follows:

                      700,000                          7 December 2006

The Company's issued share capital as at 7 December 2006, following the
cancellation of the above Shares, was 465,628,703 Shares.
