Transaction in Own Shares

3i Group plc

On 11 August 2005, 12 August 2005 and 15 August 2005 it was announced that 3i
Group plc had respectively purchased 1,050,000, 750,000 and 280,000 of its own
ordinary shares of 53 1/8p each ('Shares'), for cancellation.  The Company
now confirms that these Shares were cancelled as follows:

The Company's issued share capital as at 18 August 2005, following the
cancellations of the above Shares, was 565,253,197 Shares.
