3i Infrastructure plc - Approval of Investment Management Agreement as a related party transaction - Publication of EGM Circular
On 11 May 2018, 3i Infrastructure plc ("3i Infrastructure" or "the Company") announced its intention to move the tax domicile and management of the Company to the UK from Jersey and become an investment trust for UK tax purposes. This change is expected to take effect from 1 October 2018. A circular (the "EGM Circular") will be available on the Company's website and posted to shareholders later today, containing the notice of an extraordinary general meeting of the Company regarding the approval of the Investment Management Agreement as a related party transaction.
The EGM will be held at 10.00 a.m. on 17 September 2018 at the offices of Hogan Lovells International LLP, Atlantic House, Holborn Viaduct, London EC1A 2FG.
It is proposed that, subject to Shareholder approval, 3i Investments plc ("3i Investments") will become the Company's alternative investment fund manager and assume discretionary investment management authority for the Company from 1 October 2018. The Company and 3i Investments have agreed to enter into a new Investment Management Agreement to replace the existing Investment Advisory Agreement on the terms outlined in the EGM Circular.
