('the Company')

Notification of Interests of Executive Directors and Other Persons Discharging Managerial Responsibility ('PDMRs')

The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.

On 28 March 2018 the Company granted to each of the individuals noted below awards under the following plans:

·  2018 Executive Long Term Incentive Plan (LTIP) - Awards in the form of nil-cost options ('2018 Executive LTIP Awards') to acquire ordinary shares in the capital of the Company, subject to the rules of the Standard Life plc Executive Long Term Incentive Plan and a pre-vesting adjusted profit and net flows performance condition as defined in the deed of grant and summarised in the Directors' Remuneration Report in the Annual Report and Accounts 2017.

The Awards will normally vest on 28 March 2023, but only to the extent that the performance condition has been met.  Once vested, Awards may be exercised in the 6 months thereafter.

No consideration is payable on the grant or vesting of all of the above Awards.  During the vesting periods, the above Awards carry a right to receive dividend equivalents, to the extent that the Awards vest.

·   Individual Awards under the Restricted Stock Plan - An award under the Standard Life Restricted Stock Plan ('RSP Award') over existing ordinary shares in the Company, subject to the rules of the Standard Life Long Term Restricted Stock Plan.

The RSP Award will normally vest on 28 March 2021, subject to a pre-vesting performance condition defined in the deed of grant. 

No consideration is payable on the grant or vesting of all of the above Awards.  During the vesting periods, all of the above awards carry a right to receive dividend equivalents, to the extent that the awards vest.
