Notification of Interests of Persons Discharging Managerial Responsibilities (PDMRs)

The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.

Standard Life Investments Long Term Incentive Plan (2015) ("SLI LTIP")

On 30 March 2015, the Company granted options ("awards") in the form of nil cost options to Colin Richard Walklin under the Standard Life Investments Long Term Incentive Plan ("SLI LTIP").  These awards vested, to the extent that the agreed performance condition was met, on 30 March 2018.  No consideration was payable on the vesting of these awards.

2015 Restricted Stock Plan Awards ("2015 RSP Share Awards")

On 16 April 2015 the Company granted Restricted Stock Plan awards ("awards") over existing ordinary shares in the Company to Colin Richard Walklin.  These awards vested on 30 March 2018. No consideration was payable on the vesting of these awards.

2016 Restricted Stock Plan Awards ("2016 RSP Share Awards")

On 24 August 2016 the Company granted Restricted Stock Plan awards ("awards") over existing ordinary shares in the Company to Colin Richard Walklin.  These awards vested on 30 March 2018. No consideration was payable on the vesting of these awards.

No consideration was payable on the grant or vesting of the above awards. During the vesting period, the award carried a right to receive dividend equivalents, to the extent that the award vested.  The dividend equivalents were delivered as additional shares.
