Exercise of Warrants

Application has been made by Aberdeen Asian Income Fund Limited (the "Company") to the UK Listing Authority and the London Stock Exchange Plc for a total of 1,766,974 Ordinary shares of no par value each ("Ordinary Shares") to be admitted to the Official List, and dealings are expected to commence on 24 May 2012.
The listing application has been made following the exercise of 1,766,974 of the Company's outstanding Warrants to subscribe for Ordinary Shares at 120p per share ("Warrants") in the period to 11 May 2012.
The new Ordinary shares will rank pari passu with the existing Ordinary Shares of the Company.
Following the above issue of shares, the total number of Ordinary Shares in issue will be 147,500,845 with each Ordinary Share holding one voting right and there are 4,388,156 Warrants in issue. Therefore, the total number of voting rights in the Company will be 147,500,845 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
