                       Changes to the Board of Directors


The Board announces that Mr Richard Watkins will be retiring as Chairman and a
Director of the Company at the conclusion of the Company's Annual General
Meeting to be held in June 2004 as, having joined the Board in 1994, he has
served on the Board for more than nine years from the date of his first
election. He will be succeeded as Chairman by Mr Kevin Pakenham who was
appointed to the Board on 1 October 2003.

The Board further announces that Mr James Fox will also be retiring as a
Director of the Company at the conclusion of the Company's Annual General
Meeting to be held in June 2004 as, having joined the Board in 1994, he has also
served on the Board for more than nine years from the date of his first
election.

Baroness Hooper, who joined the Board in 1996, has indicated her intention not
to stand for re-election at the Company's Annual General Meeting to be held in
June 2005 as, having joined the Board in 1996, she will then have served on the
Board for more than nine years from the date of her first election.

In order to ensure that the Company continues to be served by a Board with a
broad range of experience of the region and the Investment Trust Industry, the
Board is pleased to announce the appointment of Mr Victor Gerald Bulmer-Thomas
and Mr Audley William Twiston-Davies as non executive Directors of the Company
with effect from 5 February 2004.

Victor Gerald Bulmer-Thomas is a Director at the Royal Institute of
International affairs and was formerly a Director at the Institute of Latin
American Studies, of the Gartmore Latin America New Growth Fund and of the
Schroders Emerging Countries Fund. We are aware of no further disclosable
details under paragraph 6.F.2(b) to (g) of The Listing Rules.

Audley William Twiston-Davies is Chairman of TR European Growth Trust PLC,
Taylor Young Investment Management Limited and Brunswick Russian Fund (Bermuda)
and a Director of Taylor Young Securities Limited, TREG Finance Limited, Galileo
Investment Holdings Limited, Mynde Farms Limited and Monmouth School Enterprises
Limited. He was formerly a Director of the Brazilian Investment Trust PLC, F & C
Latin American Investment Trust PLC, F & C Emerging Markets Investment Trust
PLC, Scudder Latin America Investment Trust PLC, Scudder Latin America Cashco
PLC, F & C Management Limited, F & C Emerging Markets Limited, F & C Holdings
Limited, Foreign & Colonial Emerging Markets (Holdings) Limited, Latin American
Securities Limited, Commonwealth Development Finance Company Limited, Pro-Active
Securities Limited, Primrose Street Holdings Limited and The Hereford Cathedral
