Retirement of Director


API Group plc announces that at the forthcoming Annual General Meeting to be
held on 31 January 2003, the Director retiring by rotation under the company's
articles of association will be John Sheldrick, the senior Non-Executive
Director.  John Sheldrick has decided not to seek re-election and, accordingly,
he will retire from the board at the conclusion of that meeting.  John Sheldrick
joined the API board on 10 February 1985.
