Disposal of Group's 51% interest in China Joint Venture
API Group plc ("API" or the "Group") is pleased to announce completion of the
sale of its interest in Shanghai Shen Yong Stamping Foil Co. Ltd, its 51%-owned
foil manufacturing operation based in Shanghai, China.
The interest has been acquired by a subsidiary of the Group's former Chinese
partner in the joint venture for a cash consideration, net of disposal costs, of
US$2.8m.
Value obtained from the transaction is in line with the treatment of assets held
for disposal in the Interim Accounts for the six months ending 30 September
2010.
A strategic review of the Group's investment in China was announced as part of a
trading update on 7 May 2010. Â On a fully consolidated basis, the unit recorded
operating losses of £2.6m and £2.4m in the twelve month periods to 31 March
2009 and 31 March 2010 respectively. Â Losses for the six months to 30 September
2010, classified under "Discontinued Operations", amounted to £1.0m.
Proceeds from the sale will be used to pay down the remaining portion of high
interest bearing debt, which forms part of the Group's main UK lending facility.
API will continue to develop its foils business in China, and Asia more
generally, through its trading office in Hong Kong and its distribution partners
located throughout the region.
