Notice of AGM

API Group plc ("API" or the "Company") announces that the Annual General Meeting
("AGM")  of the Company  has been called  for 10am on 27 July  2011 at The Royal
Thames Yacht Club, 60 Knightsbridge, London, SW1.

The notice of AGM has been sent to shareholders of the Company.

A copy of the notice of AGM, which provides further background information, will

Publication of Annual Report

The  Company also announces that  the annual report of  the Company for the year
ended 31 March 2011 has been posted to shareholders.
