Pursuant to Rule 17, API Group plc, (the "Company") confirms that it has been
informed that on 24 October 2011, Steel Partners II L.P. and its affiliate
transferred a total of 24,832,203 ordinary shares of 1p each in the Company
("Shares") to SPH Group Holdings LLC. The transfer of the Shares was part of a
group reorganisation and the Company has been advised that the ultimate
ownership of the Shares did not change.

The Shares represent 32.4% of the issued share capital of the Company.
