Conversion of Warrants 

Standard Life UK Smaller Companies Trust plc has applied for the listing of 1,164,545 ordinary shares of 25p each (the 'Shares') following the exercise of 1,164,545 warrants to subscribe for ordinary shares at 100p per share in the period to the final subscription date on 6 October 2008. 

The Shares will rank pari passu with the Company's existing Shares. Following the exercise the Company's issued share capital will comprise 33,202,130 Shares with voting rights attaching and a further 559,175 Shares held in Treasury.

It is expected that admission to the Official List and commencement of dealings in the Shares on the London Stock Exchange will take place at 8.00 a.m. on 14 October 2008.
