Total Voting Rights and Remuneration Policy Clarification
Further to the Company's announcement of 12 August 2014, relating to the issue of a total of 4,514,997 ordinary shares of €0.01 each in the capital of the Company ("Shares") pursuant to the Company's Employee Share Plan and Employee Benefit Trust arrangements, and pursuant to 5.6.1 of the Disclosure and Transparency Rules, the Company notifies the market of the following:
The issued share capital of the Company now consists of 443,734,861 Shares with voting rights. No Shares are held in treasury.
The above figure of 443,734,861 Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules. This figure replaces and supersedes any figure previously announced.
The Company would like to clarify one aspect of the remuneration policy set out on page 30 of the 2014 Annual Report. The LTIP rules approved by shareholders in 2013 do not include an individual grant limit. Nonetheless, the Company confirms that it will apply an internal limit such that no Executive Director will receive an award under the LTIP in the 2014/15 (or any subsequent) financial year of more than 300% of base salary in that financial year. In practice, the Company had not envisaged and continues not to envisage awards at even this level.

Tricoya® Wood Elements(www.tricoya.com) are produced using Accsys' proprietary technology for the acetylation of wood chips, and particles for use in the fabrication of wood based composites, including panel products. These composites demonstrate enhanced durability and dimensional stability which allow them to be used in a variety of applications that were once limited to solid wood or man-made products. Exploitation of Accsys' proprietary technology relating to Tricoya® Wood Elements is carried out through Tricoya Technologies Limited, a joint venture between Accsys and INEOS Industries Holdings Limited. Tricoya® Wood Elements are lauded as the first major innovation in the wood composites industry in more than 30 years.
Wood Acetylation is a process which increases the amount of 'acetyl' molecules in wood, thereby changing its physical properties. When carried out to a sufficient level throughout the wood, this process protects wood from rot by making it "inedible" to most micro-organisms and fungi, without - unlike conventional treatments - making it toxic. It also greatly reduces the wood's tendency to swell and shrink, making it less prone to cracking and ensuring that, when painted, it requires dramatically reduced maintenance.
