                            Directors Shareholdings

David Stevens, Chief Operating Officer of Admiral Group plc, and Heather
Stevens, his wife and one of the founder managers of Admiral Group, today each
transferred at nil cost 4,942,000 0.1p Ordinary shares  (in total 9,884,000
shares) in Admiral Group plc, representing 3.81% of the Group's issued share
capital, to The Waterloo Foundation, a charitable foundation they have recently
established. After the transfer, David and Heather Stevens will still be the
owners of  9,884,000  0.1p Ordinary  shares in Admiral Group plc representing
3.81% of the issued share capital.
