Extraordinary General Meeting to adopt new Articles of Association
AMS has posted to shareholders a Circular containing notice of an Extraordinary General Meeting ('EGM') of AMS to be held at 10.00 am on 3 October 2008 at AMS's registered office at Road Three Industrial Estate, Winsford, Cheshire CW7 3PD, at which a resolution will be proposed to approve and adopt 'New Articles A' and 'New Articles B' in substitution for, and to the exclusion of, the existing Articles of Association, with immediate effect and with effect from 1 October 2009 respectively.
There have been a number of recent changes to company law as a result of the implementation of the Companies Act 2006. Shareholders are therefore being asked to approve and adopt New Articles A and New Articles B to reflect certain of those changes.
The Circular sets out the background to the proposals and further details on them. Copies of the Circular are available for inspection at AMS's registered office at Road Three Industrial Estate, Winsford, Cheshire CW7 3PD and at the offices of Wragge & Co LLP at 3 Waterhouse Square, 142 Holborn, London EC1N 2SW from today until the time of the EGM.
