Disposal of Shares by Sinclair Montrose Trust

CareCapital Group Plc, the healthcare real estate company (CARE), announces 
that Daniel Stewart & Co. Plc has placed 5,000,000 ordinary shares in the 
Company on behalf of Sinclair Montrose Trust Limited ("Sinclair Montrose") to 
satisfy demand from institutional investors.  CareCapital's Chairman, 
Dr Michael J Sinclair, and his immediate family have a controlling interest in 
Sinclair Montrose and CareCapital's Chief Executive, Paul Stacey, is a director
of Sinclair Montrose, which holds his interest in the Company beneficially in
trust.  Following the placing, Sinclair Montrose's interest in the issued 
ordinary share capital of the Company has reduced from 26,191,818 shares 
(34.12%) to 21,191,818 shares (27.61%).

As a result of the placing, the beneficial interest of Dr Michael J Sinclair 
reduces to 16,953,454 shares (22.09%) from 20,953,454 shares (27.30%).  The 
beneficial interest of Paul Stacey reduces to 4,238,364 shares (5.52%) from 
5,238,364 shares (6.82%).
