AFC Energy (AIM: AFC), a leading provider of hydrogen power generation technologies, announces that application has been made for 1,500,000 new ordinary shares of 0.1 pence each in the Company ( "Ordinary Shares") to be admitted to trading on AIM pursuant to the exercise of warrants which have an exercise price of 18.5 pence.
The 1,500,000 new Ordinary Shares will rank pari passu with the Company's existing ordinary share capital and application has been made to the London Stock Exchange for the new Ordinary Shares to be admitted to trading which is expected to commence at 8.00 a.m. on 30 June 2021 ("Admission").
Following Admission, the Company's total issued share capital will consist of 734,378,000 Ordinary Shares, none of which are held in treasury. Accordingly, following Admission, the total number of voting rights in the Company will be 734,378,000. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
The Company also announces that it has today agreed to grant options over 1,600,000 Ordinary Shares (the "Options"). These options have been granted to participating employees under the rules of the AFC Energy 2018 Employee Share Option Plan (the "Plan").
No director has been granted options.
The purpose of the Plan is to attract, recruit and retain staff and align them with stakeholders' objectives. The Options are exercisable at a price of 64.7 pence per share and will vest between the 28 June 2024 and 17 August 2024 and expire on 28 June 2031.
