                       CHANGE IN JOINT COMPANY SECRETARY

Air China Limited (the 'Company') announces that, with effect from 5 July
2005, Mr. Fan Cheng has stepped down as a joint company secretary of the Company
and Mr. Zheng Baoan has been appointed in place of Mr. Fan Cheng as a new joint
company secretary of the Company.  The board of directors of the Company has
approved this change in joint company secretary.

Accordingly the joint company secretaries of the Company are Mr. Zheng Baoan and
Mr. Li Man Kit.  Mr. Fan Cheng continues to serve as an executive director and
the chief financial officer of the Company.

As at the date of this announcement, the directors of the Company are Messrs Li

Cai Jianjiang, Fan Cheng, Hu Hung Lick, Henry*, Wu Zhipan* and Zhang Ke*.
