DELAY IN DESPATCH OF CIRCULAR

IN RELATION TO

MAJOR TRANSACTION

Reference is made to the announcement of Air China Limited (the "Company") dated 1 March 2013 (the "Announcement") in relation to, among other things, the purchase of aircraft by the Company and its subsidiary, Air China Cargo Co., Ltd., which constitutes a major transaction for the Company under the Listing Rules (the "Transaction").

As stated in the Announcement, the Company expected to despatch a circular on the Transaction within 15 business days after the publication of the Announcement. However, the Company intends to refer to the updated financial information in the annual report of the Company for the year ended 31 December 2012. Given such annual report is still being prepared, additional time is required to prepare and finalise the information to be contained in the circular. The despatch date of the Circular is expected to be delayed to a date falling on or before 30 April 2013.
