(III) PROPOSED APPOINTMENT OF NEW DIRECTOR

(I)      RESIGNATION OF PRESIDENT

The board of directors (the "Board") of Air China Limited (the "Company") announces that the Board received a resignation letter from Mr. Cai Jianjiang on 28 January 2014 in respect of his resignation from his position as the president of the Company (the "President") with effect from the same date due to change of job assignments to China National Aviation Holding Company, the controlling shareholder of the Company. Since Mr. Cai Jianjiang no longer serves as the President, he will serve as a non-executive director of the Company instead of an executive director.

Mr. Cai has confirmed that he has no disagreement with the Board and that he is not aware of any matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company (the "Shareholders").

The Board wishes to take this opportunity to express its sincere gratitude to Mr. Cai for his significant contribution to the development of the Company during his tenure of office.

(II)    APPOINTMENT OF NEW PRESIDENT

The Company is pleased to announce that, on 28 January 2014, the Board resolved to appoint Mr. Song Zhiyong as the President with effect from the same date. The term of Mr. Song's office as the President shall end on the expiry of the term of the current session of the Board.

Mr. Song Zhiyong, aged 49, graduated from the Second Flying Academy of China Air Force with a bachelor's degree in aviation. Mr. Song started his career in China's civil aviation industry in 1987 and was previously a pilot, Deputy Team Captain, Flight Director, and Deputy Group Captain of the Third Group of the Chief Flight Team, Deputy Captain of the Chief Flight Team and Director of the Training Department of Air China International Corporation. He served as Captain of the Chief Flight Team and Deputy Secretary of the Communist Party Committee of the Company from November 2002 to June 2008. Mr. Song held the post of Assistant to President from September 2004 to October 2006. He was the Vice President, a Member of the Communist Party Committee, and a Member of the Standing Committee of

the Communist Party Committee of the Company from October 2006 to December 2010. Mr. Song has served as the Deputy General Manager and a Member of the Communist Party Committee of China National Aviation Holding Company since December 2010.

Save as disclosed above, Mr. Song has not held any directorship in public companies the securities of which are listed on any securities market in Hong Kong or overseas or taken up a position in any affiliated companies of the Company over the past three years. Save as disclosed above, Mr. Song does not have any relationship with any other directors, senior management, substantial or controlling shareholders of the Company.

As at the date of this announcement, Mr. Song does not have any interest in shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong). There is no information to be disclosed on items from (h) to (v) in Rule 13.51(2) of the Listing Rules, and there are no other matters in respect of the appointment of Mr. Song that need to be brought to the attention of the Shareholders.

(III)   PROPOSED APPOINTMENT OF NEW DIRECTOR

The Company is also pleased to announce that the Board resolved to propose that Mr. Song Zhiyong be appointed as an executive director of the Company. An ordinary resolution to consider and approve the appointment of Mr. Song Zhiyong as an executive director of the Company will be proposed at a general meeting of the Company.

Mr. Song Zhiyong will enter into a service contract with the Company and will not receive any remuneration from the Company during his tenure in connection with his position as an executive director of the Company. The term of Mr. Song's office as an executive director of the Company shall commence on the date of approval by the Shareholders of his appointment and shall end on the expiry of the term of the current session of the Board.

Save as disclosed above, there are no other matters in respect of the proposed appointment of Mr. Song that need to be brought to the attention of the Shareholders.
