TIME EXTENSION FOR DESPATCH OF CIRCULAR

Reference is made to the Announcement of the Company published in the newspapers
on 9 June 2006 in connection with the Restructuring Agreement in respect of the
restructuring of the shareholdings in Dragonair and Cathay together with the
proposed issuance of additional H Shares by the Company to Cathay.

The Company has applied to the Hong Kong Stock Exchange for an extension of the
date for despatch of the Circular to the shareholders of the Company. The
despatch of the Circular will be delayed from 30 June 2006 to 3 July 2006.

Reference is made to the Announcement of the Company published in the newspapers
on 9 June 2006 (the 'Announcement') in connection with the Restructuring
Agreement in respect of the restructuring of the shareholdings in Dragonair and
Cathay together with the proposed issuance of additional H Shares by the Company
to Cathay, which constitutes major and connected transactions for the Company
under the Listing Rules. Unless otherwise defined herein or the context
otherwise requires, all capitalised terms used herein shall have the same
meanings as defined in the Announcement.

Pursuant to the Listing Rules, a circular that must contain the information
required under the Listing Rules in connection with the Transaction (the
'Circular') shall be despatched to the shareholders of the Company within 21
days after publication of the Announcement. As more time is needed for the bulk
print of the Circular, the Company has applied to the Hong Kong Stock Exchange
for, and has been granted, a waiver from strict compliance with the requirements
under Rule 14.38 of the Listing Rules in relation to the timing for the despatch
of the Circular. The despatch of the Circular will be delayed from 30 June 2006
to 3 July 2006, i.e. the first business day after the 21-day period.
